Terms of Limited Scope Engagement

Limited Scope Attorney-Client Relationship: By submitting a document through this service, executing the engagement letter, and paying the $199 fee, you retain Nnamdi Nwaezeapu for the limited purpose of reviewing the submitted document and providing written feedback. This creates an attorney-client relationship solely for this defined scope of work. The relationship terminates automatically upon delivery of our written review.

Scope of Representation: Our services are strictly limited to: (1) reviewing your submitted document for legal issues, risks, and inconsistencies, (2) providing written feedback identifying potential concerns, (3) suggesting revisions or modifications where appropriate, and (4) answering clarifying questions related to our review of the specific document. Our services DO NOT include: legal representation in any litigation, arbitration, or formal proceedings; negotiation with other parties on your behalf; drafting new documents from scratch; ongoing legal advice beyond this specific document review; representation in any matter not explicitly described above; or court appearances or formal legal proceedings of any kind.

Fees and Payment: The total fee is $199.00 (flat fee). Payment is due in full before we begin our review and will be processed via Stripe. No refunds will be provided once our review has been completed and delivered. If you terminate before we complete our review, fees are non-refundable. If we terminate, we will refund your fee in full.

7-Day Satisfaction Guarantee: We'll refund your fee if our review missed a material legal issue or didn't meet the standards described in our engagement letter. Refund requests must be submitted within 7 days of receiving your review and must include specific reasons why the review was insufficient. This guarantee does not apply to subjective dissatisfaction or requests made to obtain a free review.

No Guarantee of Outcome: While we will provide our professional legal opinion regarding the document, we cannot and do not guarantee any specific outcome, result, or consequence. Legal document review involves professional judgment, and different attorneys may reach different conclusions. Our review reflects our professional opinion at the time of review. Laws and regulations change over time, and we cannot predict how courts or other parties will interpret the document. You are ultimately responsible for decisions regarding the document.

Confidentiality and Privilege: We will maintain the confidentiality of all information you provide in accordance with our professional obligations and applicable law. Standard attorney-client privilege applies to our communications. We may use AI tools to assist in our review process, but we will not share your confidential information with third parties except as required by law.

Your Responsibilities: You agree to: provide complete and accurate information; respond promptly to any questions we may have; make all final decisions regarding the document; and seek additional legal counsel if circumstances change or if you need advice beyond the scope of this engagement.

Limitation of Liability: To the maximum extent permitted by law, our liability for any claims arising from this engagement is limited to the amount of fees paid ($199). We are not liable for: indirect, consequential, or punitive damages; decisions you make based on our review; actions taken by third parties; or matters outside the scope of this engagement.

Governing Law and Disputes: This engagement is governed by New York law. Any disputes arising from this engagement shall be resolved through binding arbitration in New York County, New York, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

Complete Terms: The complete terms of engagement, including all provisions regarding scope, fees, confidentiality, and limitations, are contained in the engagement letter you will receive and must execute before services begin. By submitting a document through this form, you will be asked to review and sign the complete engagement letter.
